CONSTITUTION OF THE EAST COAST OFF-ROAD TRAVEL CLUB OF SOUTH AFRICA

 INTRODUCTION

The East Coast Offroad Travel Club South Africa (hereinafter referred to as “Ecotracs”) is an association whose Members have an interest in off-road activities (as defined by the Active Members from time to time) and whose interaction is generally (but not solely) Internet based and situated on the website “East Coast Offroad Travel Club South Africa” currently at URL http://www.ecotracs.org.

 OBJECTIVES

The objectives of Ecotracs are:

  1. To promote interaction between its Members
  2. To further its Members enjoyment of all off-road activities and to actively promote the responsible and sustainable use of the environment.
  3. To further its Members enjoyment of and/or participation in any other activity in which the Members may have commonality without any primary objective of gain or profit.

 LEGAL STATUS

  1. Ecotracs is an incorporated association having separate legal identity from its Members. It shall have the power to enter into any legal transaction which may further its objectives.
  2. The logo as displayed on the Ecotracs website, the content of the URL’s http://www.ecotracs.org and http://www.ecotracs.co.za, the name “East Coast Offroad Travel Club South Africa” and it’s abbreviation “Ecotracs” are the exclusive property of Ecotracs and may not be used without the permission of all normal Members.
  3. Any other intellectual property generated by the Members and contained on the website or the archive is the exclusive property of Ecotracs current members and may not be used without the permission granted by unanimous agreement of normal members. If such permission is granted, any use of such property must state that it is with the permission of Ecotracs.

 MEMBERSHIP

Membership of Ecotracs will consist of individuals who subscribe to the objectives of Ecotracs and will consist of the following categories:

  1. “Normal Members” – those Members who have been nominated from time to time and who accept such nomination. The nomination must be proposed a Member in good standing and seconded by at least one other Member. Qualification for permanent membership is subject to unanimous agreement of all members subsequent to the participation in adequate club outings to demonstrate common interests and objectives to the existing club members.
  2. “Associate Members” – inactive members in good standing and such other individuals whom Members deem to be worthy of association. Associate Members will not be entitled to vote at a meeting of Members.
  3. "Country members" - Those who are nominated and seconded and accept such nomination on the understanding that they as a consequence of distance are exempted from attending club functions and who only have to satisfy the current members of their common interest in order to qualify as permanent country members.
  4. A Members membership shall cease on the resignation or death or if agreed to at a meeting of current Members.
  5. Membership shall be limited to a maximum of forty (40) Active Members in good standing.

 STRUCTURE

  1. Ecotracs will be managed and represented by Authorised Individuals as appointed at a meeting of Active Members from time to time. Such appointment shall cease if so agreed to at a meeting of Active Members.
  2. Authorised individuals will include Forum Moderators, Forum Administrators and any other such positions as will further the objectives of Ecotracs.
  3. Events will be organised and managed by appropriate elected normal members appointed on occasion and will normally be the responsibility of the nominating member for the event.

 MEETINGS

1.      Ecotracs Members will meet via Internet based mechanisms for conducting of administrative business.

2.      A meeting will be deemed to exist if there is a discussion held on the subject on the Ecotracs club forum at ecotracs@ecotras.org

4.      All Active Members will have one vote, any decision will only be effective if there is agreement thereto by all Normal Members.

5.      Records need not be kept in writing but will be stored in Internet archives; where it is not practical to keep such archives, decisions will be of effect if deemed to be so by a majority of Active Members.

 FINANCIAL

1. Members shall be required to pay such fees and/or levies as are agreed on from time to time.

2. All Members will be deemed to be fully paid-up unless notified to the contrary by an Authorised Individual.

2. Any funds collected will be managed by an Authorised Individual who will not be required to account for such funds unless called on to do so at a meeting of Active Members.

3. No Member will be personally liable for any of the obligations or debts of Ecotracs.

AMENDMENTS

Any amendments to this Constitution may be made as set out under the heading ‘Meetings’

 DISSOLUTION

Ecotracs will be dissolved if

  1. There is no meeting of Active Members over any 12 month period.
  2. There is, at any time, consensus on dissolution by all normal Members.

In the event of dissolution, any property belonging to Ecotracs will be given to another organization with similar objectives.
